Job role:  M&A Director

Location: Hyrid role, 3 days per week in our London office

Hours:  35 hours per week, Monday to Friday

Emeria UK operates in the residential real estate sector through its operating brands of Campions, FirstPort, Innovus and Knight Square.

The role will form part of the Emeria UK M&A team, which is a team of 4 and you will report to the Chief Financial Officer. You will play a crucial role in driving the acquisitive growth of the company.

Working with Executive Board, you will qualify and determine acquisition opportunities for the business, you will then lead the development of the transaction through to business case approval and deal completion.

You will partner with the Managing Director to ensure alignment in acquisition strategy and opportunities, building a robust acquisition pipeline for the business area.

This role will work on our acquisition opportunities for the Mainstay/FirstPort operating brand, which provides services to the property industry.

Key Accountabilities

  • Collaborate with the Managing Director, to inform the buy and build strategy and transaction structuring.
  • Support and direct on researching the industry for both deal origination, transaction analysis and sector insight.
  • Act as primary liaison with external brokers to develop the opportunity network & future targets.
  • Identify, screen and assess potential acquisition opportunities, determine viability and relevance, rapidly formulating proposals, reviewing with management for approval.
  • Communicate and engage with target owners, articulating the acquisition opportunity and potential deal structures, lead and own the vendor negotiations.
  • Responsible for taking the deal transaction though all phases from origination through to completion and closing the deal.
  • Develop, create and review financial models to evaluate the target-acquisition, building and obtaining buy-in to the synergy case.
  • Lead and own the development of the business cases, discussion of non-binding offer approvals through to submission.
  • Lead and oversee the due diligence work streams, liaising and managing external advisors, coordinating with internal stakeholders and keeping management appraised of the deal progress, issues, dependencies, timing deadlines and deliverability.
  • Own and lead the deal through the financial due diligence processes and onward legal negotiations.
  • Prepare robust investment case for Board review and sign-off.
  • Own and manage a timetabled process of tracking, end-to-end the project status, with clear, robust and succinct reporting to the Chief Financial Officer and Managing Director on progress, including risk mitigation and issue resolution proposals.
  • Lead and support internal reporting on progress, challenges, markets and opportunities., including production of monthly M&A executive report.
  • Engage with the integration team and target shareholders / senior management to facilitate the development of integration strategy and plans. Prepare a Day 1 integration pack for handover.
  • Support the Chief Financial Officer in project reviews with Emeria Group.
  • Must always operate with unyielding integrity and ensure that fair treatment of acquisitions is at the forefront, and all interactions are conducted in an open and transparent manner.

 Experience

  • ACA or ACCA Qualified, substantial post-qualified experience in Corporate Finance.
  • Demonstrable experience in Mergers and Acquisitions and buy side experience highly desirable.
  • Strong finance technical knowledge and capability with ability to operate in an agile fast paced environment.
  • Proven and demonstrable advanced financial modelling and planning skills.
  • Exceptionally strong interpersonal and management skills, with the ability to gain trust and build lasting relationships at the most senior level.
  • Ability to lead and to adapt effectively to managing multiple critical projects simultaneously.
  • Self-motivated and works well in a fast-paced environment.
  • Experience and / or adaptable to leading and managing within a corporate environment.
  • Ability to work and collaborate cross functionally with senior management, peers and colleagues alike, across all functions and divisions within the business.

  • Exceptional stakeholder management skills.
  • Proven strong analytical skills in evaluating opportunities with data and using these to best advantage using strong commercial acumen.
  • Comfortable in an evolving and ambiguous environment, not fazed by change and transformation at pace, and importantly can take people with them on the journey.
  • Adaptable in communication style, displays gravitas with strong knowledge about their functional area and a passion for delivery
